[BIN: 1001084852]), with Canadian permanent residency number 9505-3099, hereon as “Counsellor”, and Ms. Sahar Elahi, born on 1983-06-21 in Bojnord, Iran, with Iranian national ID number 068-195056-0, and Iranian passport number F62544608, hereon as “Applicant”. Both parties agree to the terms below. This contract shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation/arbitration/litigation in accordance with the laws of the Province of Ontario, Canada. Article One: Subject of the Contract The contract concerns helping an international student receive a thesis-based graduate-level (MSc or PhD) admission in a field compatible with the applicant’s background and interests from a Designated Learning Institution (DLI) in Canada that participates in the Post-Graduation Work Permit (PGWP) program. Admission should be accompanied by a full scholarship/bursary/grant/award/funding package. Services include counselling, refining CVs and Statements of Purpose (SOPs), evaluating the applicant’s academic profile and credentials, contacting prospective academic advisors, coordinating interviews, coaching for interviews, preparing mini-proposals when required, submitting applications, and providing personalized guidance throughout the process. Article Two: Duration of the Contract The validity period of this contract extends from the date of signing by the counsellor until the obligations of both parties are fulfilled. The standard duration of the contract is one (1) year, during which the counsellor is responsible for arranging as many interviews as possible between the applicant and potential academic advisors. If an interview results in an advisor agreeing to supervise the applicant, that advisor will invite the applicant to apply to the corresponding graduate program. The contract will conclude either when the applicant is accepted into a fully funded graduate program or at the end of the one-year period, whichever occurs first. If, by the end of the one-year period, the applicant has not yet achieved the minimum required IELTS or TOEFL scores for admission to Canadian universities, the applicant may request a single six (6)-month extension of the contract without additional charge. During this extension, the counsellor shall make reasonable efforts to maintain contact with previously identified advisors. If a prior advisor withdraws or declines supervision because of the applicant’s delay in meeting language requirements, the counsellor shall make renewed efforts to identify and contact alternative advisors during the extended period. The counsellor shall not be held responsible for any loss of opportunity or advisor withdrawal resulting from the applicant’s language-related delay. If, at the end of the six-month extension, no new advisor has been secured despite reasonable efforts by the counsellor, the counsellor’s obligations under this agreement shall be considered fully performed, and the contract shall automatically conclude without refund or penalty. The applicant may choose to renew services under a new paid agreement after achieving the required language scores. Any further extension beyond this six-month period—such as one requested due to unsatisfactory counsellor performance—may be granted only by mutual written agreement within a reasonable timeframe. Article Three: Fees Contract fees depend on the type of admission that will be received and are agreed as follows: • Relevant online counselling is free of charge for 30 min/month • In case of successful admission with full scholarship/bursary/grant/award/funding package: $3000 CAD. • If the applicant is not accepted by a potential advisor with full funding offer within the initial one-year period, she may either request a refund of any payment made or extend the contract for a specific period, as mutually agreed with the counsellor, without extra charge. However, if the one-year term is followed by a six-month extension under Article Two (due to the applicant’s delay in obtaining language test scores) and no admission is secured despite the counsellor’s reasonable efforts, the counsellor’s obligations shall be deemed fully performed, and no refund shall apply. The applicant may choose to continue under a new paid agreement after meeting the required language criteria. Article Four: Conditions of Fee Payments At the time of signing the contract: applicant pays $1500 CAD + university application fees* *Note: university application fee is directly charged by the university, it is non-refundable and is not part of fees and services provided by the counsellor. Applicant may choose to pay this later directly to the university all by herself or transfer the total amount to the counsellor for the purpose of payment to the universities before deadlines. Instalment 2: At the time of announcing the result of the admission application: • if admitted with full scholarship/bursary/grant/award/funding package: applicant pays $1500 CAD. • If the applicant does not secure a successful agreement with a potential advisor within one year or if an application is rejected: the counsellor refunds $1,500 CAD (first instalment) or the applicant may extend the contract for a specific period, as mutually agreed, without extra charge, until successful admission with full funding is achieved. Article Five: Counsellor’s Obligations • Providing complete, correct, and documented information to the applicant about the conditions of graduate studies in Canadian universities in relevant fields of study compatible with applicant's background and interest. • Providing real and up-to-date information about the requirements and regulations of the requested university program, tuition fess, availability of scholarship/bursary/grant/award/funding, and other information that is normally effective for the applicant's decision-making. • Checking the appropriateness of the required documents provided by the applicant*. *Note: the applicant is responsible for the accuracy of the presented documents. • Preparing or revising applicant’s CV and SOP • Contacting potential academic advisors prior submitting the application in order to request their support for applicant’s file • Arranging interview with potential academic advisors • Coaching applicant for interviews • Submitting the complete application package online before program’s deadline • Providing online credentials of the submitted online application to the applicant once the application result become available and once the applicant pays the last instalment. Note: after the validity period of the contract, the counsellor will not have any responsibility regarding applicant’s future decisions such as dropping out of school, expulsion from the university, asylum, and involvement in criminal acts. Article Six: Applicant’s Obligations • According to the provisions of the signed contract, the applicant is obliged to submit all the valid/approved academic documents required for admission to the counsellor at the appointed time. Any delay in the delivery of the documents is her responsibility. • According to Article 4 of this contract, the applicant is obliged to pay the counsellor's fee at the times specified in the contract. Failure to pay the fee on time will result in the termination of the contract and the applicant will be responsible for it. • The applicant is obliged to notify the consultant in writing as soon as possible in case of withdrawal from her intention for graduate studies, non-implementation of the terms of the contract, and her desire to terminate the contract. Otherwise, any responsibility arising from it will be borne by the applicant. Article Seven: End of Contract This contract is considered ended once the counsellor’s duties and tasks have been completed and the results of admission applications are available. If the outcomes are unsuccessful after the initial one-year period, the applicant may either request a refund of fees paid or keep the contract active for an additional period without extra charge, as mutually agreed with the counsellor. If the contract was extended for six months due to pending IELTS or TOEFL scores and no advisor was secured despite the counsellor’s reasonable efforts, the counsellor’s obligations shall be considered fulfilled, and no refund shall apply. The applicant may choose to continue under a new separate agreement after meeting the required language conditions. Article Eight: Cancellation of Contract • If applicant presents fake or fabricated documents, counsellor has the full right to collect all charges and fees related to this contract and cancel the contract directly. • If applicant, for any reason, decide to cancel the contract within a week after signing it, the counsellor should return her 90% of initial payment (first installment). If such a decision occurs anytime between the 8th and 30th day after signing this contract, the counsellor shall refund 50% of any payments received.
