    Contract for University Admission Counselling and Guiding Services (Joint Contract – Two Applicants)

    This contract is entered into between Mr. Ali Zahedi Amiri, representative of KKProfs/NorthNest Co. (BIN: 1001084852), Canadian Permanent Resident No. 9505-3099, hereinafter referred to as the “Counsellor”,
    and

    Ms. Sahar Elahi, hereinafter referred to as “Applicant A”, and
    Ms. Samira Elahi, hereinafter referred to as “Applicant B”,

    collectively referred to as the “Applicants.”

    This contract shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any dispute arising from or related to this Agreement shall be resolved in accordance with Ontario law through mediation, arbitration, or litigation, as applicable.

    Article One: Subject of the Contract

    The subject of this contract is the provision of university admission counselling, application preparation, and academic guidance services for two related applicants (sisters) seeking admission to higher education institutions.

    Applicant A – Sahar Elahi
    The counsellor shall assist Applicant A in obtaining PhD-level admission with full funding in Microbiology, Biomedical Sciences, or closely related fields from Designated Learning Institutions (DLIs) in Canada.

    Funding is considered an essential component for Applicant A and includes, but is not limited to, fully funded PhD positions, research assistantships, fellowships, or combined funding packages.

    Applicant B – Samira Elahi
    The counsellor shall assist Applicant B in obtaining Master’s-level admission in Hotel Management or closely related fields, with preference given to programs that include research, thesis, capstone, or applied project components relevant to hotel and hospitality management.

    Funding, scholarships, or awards for Applicant B may be pursued but are not guaranteed, and admission without funding is acknowledged as an acceptable outcome under this contract.

    Target Country and Alternative Options
    The primary target country under this contract is Canada.
    However, European study options (including but not limited to EU countries) may be proposed by the counsellor only if both applicants explicitly agree. Such alternatives are optional and not mandatory.

    Article Two: Geographic Coordination Requirement

    The counsellor shall make best-faith and reasonable efforts to secure admission offers for both applicants in the same city or metropolitan area, though not necessarily the same university.

    The applicants acknowledge and agree that:

    • Admission decisions, start terms, and timelines are determined by universities and immigration authorities, not by the counsellor.

    • If identical start terms are not possible, the counsellor will attempt to secure start dates as close as reasonably possible.

    • Differences in intake terms (e.g., Fall vs. Winter) may occur and are outside the counsellor’s control.

    No guarantee is made regarding identical start dates or admission timelines.

    Article Three: Duration of the Contract

    The total validity period of this contract is one (1) year and six (6) months (18 months) from the date of signing.

    The contract may be extended once for an additional six (6) months at no extra cost, solely for the purpose of improving or submitting updated language test results (e.g., IELTS, TOEFL) for either or both applicants.

    Article Four: Scope of Services

    Services provided under this contract include, but are not limited to:

    • Academic profile evaluation for both applicants
    • Strategic program and university selection
    • CV and Statement of Purpose (SOP) drafting and revision
    • Research interest alignment and mini-proposal preparation when required
    • Contacting professors, supervisors, or program coordinators where beneficial
    • Interview coordination and coaching when applicable
    • Online submission of university applications
    • Ongoing academic guidance throughout the contract period

    Article Five: Exclusion of Visa and Immigration Services

    This contract does NOT include visa, study permit, or immigration application services.

    • No services related to study permits, visas, or immigration representation are included.

    • A separate written agreement must be executed if the applicants wish to receive visa-related services.

    • The counsellor bears no responsibility for visa approvals, refusals, processing times, or immigration officer decisions.

    Article Six: Fees and Payment Conditions

    The total professional service fees under this contract are defined separately for each applicant as follows:

    • For Applicant A (Sahar Elahi) – PhD-level admission with full funding: the total service fee is $3,000 CAD.

    • For Applicant B (Samira Elahi) – Master’s-level admission (funding not guaranteed): the total service fee is $1,500 CAD.


    Payment Structure

    At the time of signing this contract, the applicants shall pay 50% of the total service fee for each applicant, as detailed below:

    • Applicant A (Sahar Elahi): $1,500 CAD payable at signing.

    • Applicant B (Samira Elahi): $750 CAD payable at signing.

    The remaining 50% of the service fees shall be payable upon achievement of the agreed admission results, defined as the issuance of at least one formal admission offer that meets the scope and objectives outlined in this contract:

    • Applicant A (Sahar Elahi): remaining $1,500 CAD.

    • Applicant B (Samira Elahi): remaining $750 CAD.


    University Application Fees

    University application fees are separate from the counsellor’s service fees, are non-refundable, and are charged directly by the universities. Such fees may be paid by the applicants directly or transferred to the counsellor solely for the purpose of submitting applications before official deadlines.

    Article Seven: Obligations of the Counsellor

    The counsellor agrees to:

    • Provide accurate and up-to-date academic information
    • Act in good faith and in the best academic interest of both applicants
    • Maintain confidentiality of applicant documents
    • Submit applications before deadlines where documents are provided on time

    Article Eight: Obligations of the Applicants

    The applicants agree to:

    • Provide complete, truthful, and timely documentation
    • Meet agreed payment schedules
    • Inform the counsellor promptly of any withdrawal or change in plans
    • Acknowledge that final decisions rest with universities and immigration authorities

    Article Nine: Termination, Cancellation, and Refund Conditions

    This contract becomes binding and non-cancellable by the applicants immediately upon signing, except under the specific conditions expressly stated in this Article.

    Fraud and Misrepresentation

    • If either applicant submits fraudulent, fabricated, altered, or misleading documents or information at any stage of the process, the counsellor reserves the full right to terminate this contract immediately without notice and without any refund of fees paid.

    Non-Cancellation During Contract Validity

    • The applicants acknowledge and agree that this contract cannot be cancelled or terminated by the applicants for convenience or change of mind after signing.

    • Early withdrawal, inactivity, non-responsiveness, or voluntary discontinuation by either applicant does not entitle the applicants to any refund prior to the expiry of the contract period.

    Independent Evaluation of Outcomes

    • Each applicant’s outcome under this contract shall be evaluated independently.

    • The success or admission outcome of one applicant does not affect the rights, obligations, or refund eligibility of the other applicant.

    Refund Eligibility at Contract Expiry

    • If, by the official expiry date of this contract, the agreed admission outcome for a specific applicant has not been achieved, that applicant shall be entitled to a refund of the service fees paid for that applicant only.

    • Refunds, where applicable, shall be processed by the counsellor within forty-five (45) business days from the contract expiry date.

    • If one applicant successfully achieves the agreed admission outcome before or by the expiry date, while the other applicant does not, only the unsuccessful applicant’s fees shall be refundable.

    Condition Precedent: Language Test Submission

    • As a mandatory condition of this contract, each applicant must provide valid and complete language test scores (including but not limited to IELTS or TOEFL) to the counsellor no later than six (6) months prior to the contract expiry date.

    • Failure to submit acceptable language test results within this timeframe shall be deemed non-compliance by the applicant and shall void any entitlement to refund for that applicant.

    Post-Expiry Disclaimer

    • Upon expiry of this contract and settlement of any applicable refunds, the counsellor shall bear no responsibility or liability for future academic, immigration, personal, or professional decisions or outcomes of the applicants, including but not limited to study continuation, deferrals, visa refusals, withdrawals, or changes in personal circumstances.
