Contract for University Admission Counselling and Guiding Services

This contract is written between Mr. Ali Zahedi Amiri (representative of KKProfs/NorthNest Co. [BIN: 1001084852]), with Canadian permanent residency number 9505-3099, hereon as “Counsellor”, and Mrs. Kiana Kahvazadeh, born on 1993-01-28 in Gorgan, Iran, with Iranian passport number M62183399, hereon as “Applicant”. Both parties agree to the terms below. This contract shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation/arbitration/litigation in accordance with the laws of the Province of Ontario, Canada.

Article One: Subject of the Contract
The contract concerns helping an international student receive a graduate-level (MSc) admission in a field compatible with the applicant’s background and interests from a Designated Learning Institution (DLI) in Canada that participates in post-graduation employment or work authorization programs. Admission could be accompanied by a scholarship/bursary/grant/award/funding package. Services include counselling, refining CVs and Statements of Purpose (SOPs), evaluating the applicant’s academic profile and credentials, contacting prospective academic advisors or program directors, coordinating interviews when applicable, coaching for interviews when required, preparing mini-proposals when required, submitting applications, and providing personalized guidance throughout the process.

Article Two: Duration of the Contract
The validity period of this contract begins on the date it is signed by the counsellor and remains in effect until all obligations of both parties have been fulfilled. The standard duration of the contract is one (1) year. During this period, the counsellor will focus primarily on preparing and submitting strong, competitive direct applications to programs that admit students without requiring prior supervisor interviews or agreements. This includes universities that follow committee-based, centralized, or rotation-based admission processes. If, during the course of the service, the counsellor identifies programs where contacting potential supervisors may significantly strengthen the applicant’s chances, the counsellor may initiate targeted outreach to selected professors. However, the core commitment of this contract is to strategically prepare, refine, and submit applications to a carefully selected list of programs with the goal of securing at least one admission for the applicant. The contract will conclude either when the applicant receives an admission offer—preferably with funding, where applicable, or when the one-year contract period ends, whichever occurs first.

    Article Three: Fees
Contract fees depend on the admission outcome and the scholarship level received:

    • Relevant online counselling is free of charge for 30 min/month

    • In case of admission with scholarship/funding valued at $5,000 CAD or above: the total fee is $2,000 CAD.

    • In case of admission with no scholarship or scholarship/funding valued at less than $5,000 CAD: the total fee is $1,500 CAD.

    • If the applicant does not receive any admission within the one-year validity period, she may request a refund of the initial payment made or extend the contract for an additional 3–6 months, as mutually agreed with the counsellor, without extra charge.

Article Four: Conditions of Fee Payments
At the time of signing the contract: applicant pays $750 CAD + applicable university application fees*.
*Note: university application fees are charged directly by the university, are non-refundable, and are not part of the counsellor’s service fees. The applicant may pay these fees directly to the university or transfer the total to the counsellor to process payments before deadlines.

Instalment 2: At the time of announcing the admission result:
    • If admitted with scholarship/funding of $5,000 CAD or above: the applicant pays the remaining $1,250 CAD (for a total of $2,000 CAD).

    • If admitted with no scholarship or scholarship/funding below $5,000 CAD: the applicant pays the remaining $750 CAD (for a total of $1,500 CAD).

    • If no admission is secured within one year: the counsellor refunds the initial $750 CAD payment, or the applicant may extend the contract for 3–6 months at no additional cost, as mutually agreed.

    Article Five: Counsellor’s Obligations
    • Providing complete, correct, and documented information to the applicant about graduate studies in Canadian universities in relevant fields compatible with the applicant’s background and interests.

    • Providing real and up-to-date information about program requirements, tuition fees, scholarship/bursary/grant/award/funding opportunities, and any details relevant to the applicant’s decision-making.

    • Reviewing the appropriateness of the documents provided by the applicant*.
*Note: the applicant is responsible for the accuracy of all documents submitted.

    • Preparing or revising the applicant’s CV and Statement of Purpose.

    • Contacting potential academic advisors or programs when beneficial to strengthen direct-application files.

    • Arranging interviews with potential academic advisors only when relevant or necessary.

    • Coaching the applicant for interviews when applicable.

    • Submitting the complete application package online before each program’s deadline.

    • Providing online credentials, application receipts, and the final decision notification to the applicant once the applicant has paid the final instalment.

Note: After the validity period of this contract ends, the counsellor bears no responsibility for the applicant’s future decisions such as dropping out, expulsion, asylum, or criminal involvement.

    Article Six: Applicant’s Obligations
    • The applicant must provide all required academic and supporting documents within the agreed timeframe. Any delay is the applicant’s responsibility.

    • According to Article 4, the applicant must pay the counsellor’s fee at the specified times. Failure to pay on time results in termination of the contract and the applicant bears the responsibility for any consequences.

    • The applicant must notify the counsellor in writing if she withdraws from pursuing graduate studies, wishes to terminate the contract, or cannot fulfill the terms. Otherwise, all resulting responsibilities and consequences fall upon the applicant.

    Article Seven: End of Contract
This contract ends once the counsellor’s obligations are completed and the admission results are available. If the outcomes are unsuccessful after the initial one-year period, the applicant may either request a refund of the fees paid or extend the contract at no extra cost for an additional mutually agreed period.

    Article Eight: Cancellation of Contract
    • If the applicant presents fake or fabricated documents, the counsellor has the full right to collect all fees related to this contract and cancel the contract immediately.

    • If the applicant cancels the contract within 7 days of signing, the counsellor will refund 90% of the initial payment.

    • If cancellation occurs between the 8th and 30th day after signing, the counsellor refunds 50% of payments received.

    • Cancellation any time after 30 days is not eligible for any refund.

Article Nine: Special Conditions Related to Work Visa and Parallel Immigration Streams
The counsellor hereby acknowledges the applicant’s full right to cancel this contract and receive a complete refund of all payments made in this contract, in the event that the applicant enters Canada earlier through another immigration pathway, such as a work visa, investment stream, or entrepreneur stream, arranged by the counsellor, and such entry occurs prior to the successful completion of this admission contract. In this scenario, any admission obtained for the applicant, whether with scholarship or without scholarship, will also be considered cancelled upon the applicant’s request, and the counsellor will hold no further obligation regarding continuation of the admission process. However, the applicant reserves the right to pursue both pathways simultaneously. If the applicant chooses to maintain both the work visa pathway and the academic admission at the same time, and specifically requests for the admission to remain active, then no cancellation or refund of this contract shall apply. The counsellor will continue providing services under this contract in such cases, and the financial terms previously agreed upon will remain fully in effect.
